Agreement to Terms

By accessing and using the services provided by Weblinity LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

Description of Services

Weblinity LLC provides IT solutions including but not limited to:

• Custom web development and design
• Mobile application development
• SaaS product development
• AI and API integrations
• Technical consulting and support
• Website hosting and maintenance

Service Level & Support

We strive to provide timely and professional service delivery. Specific service levels, response times, and support terms are outlined in individual project agreements.

Business Hours

• Standard business hours: Monday-Friday, 9:00 AM - 6:00 PM MST
• Emergency support available for critical issues (additional charges may apply)
• Response times vary based on service level agreement

Acceptance of Work

All projects require a signed agreement or statement of work before commencement. Project scope, timeline, and payment terms will be outlined in the project agreement.

Project Requirements

• Client must provide clear project requirements and specifications
• Changes to project scope may result in additional costs and timeline adjustments
• Client is responsible for providing necessary content, assets, and access
• Regular communication and feedback are required throughout the project

Payment Terms

Payment Schedule

• Payment terms are specified in individual project agreements
• Typically require 50% upfront payment to begin work
• Remaining balance due upon project completion
• Monthly retainer arrangements available for ongoing services

Late Payments

Late payments may incur interest charges of 1.5% per month or the maximum allowed by law. Work may be suspended for accounts past due beyond 30 days.

Refund Policy

Refunds are handled on a case-by-case basis and depend on project stage and deliverables completed. Refunds, if applicable, will be prorated based on work completed. No refunds are available for completed and delivered work.

Intellectual Property Rights

Client Rights

• Upon full payment, client receives ownership of custom-developed work
• Client retains rights to their content, branding, and proprietary information
• Source code and project files provided upon final payment

Company Rights

• We retain rights to our proprietary tools, frameworks, and methodologies
• Right to use project as portfolio example (with client permission)
• Third-party licenses and software remain property of respective owners

Warranties and Disclaimers

Limited Warranty

We warrant that services will be performed in a professional manner consistent with industry standards. Bug fixes and corrections provided for 30 days after project delivery.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL WEBLINITY LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Weblinity LLC from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Confidentiality & Data Protection

We respect the confidentiality of your business information and will not disclose proprietary information to third parties without your consent, except as required by law.

Non-Disclosure

• Project details and business information kept confidential
• Access credentials and sensitive data protected using industry-standard security measures
• Separate NDAs available for highly sensitive projects
• Data retention policies in accordance with applicable privacy laws

Data Security

We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the internet is 100% secure.

Force Majeure

We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, or government regulations.

Termination

Termination by Client

• Projects may be terminated with 30 days written notice
• Payment due for all work completed up to termination date
• Deliverables provided for work completed and paid

Termination by Company

We may terminate services if client breaches Terms, fails to pay, or if continuation would be illegal or harmful to our business.

Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Sheridan County, Wyoming.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.
